Terms of Service and Licence

The terms governing your use of the Neurones 3D application, the neurones3d.com website and its download service, and the purchase of a licence, provided by 3D Geodata Academy.

1.Acceptance and who we are

These Terms of Service (the "Terms") form a binding agreement between you and 3D Geodata Academy. By downloading, installing, or using the Neurones 3D application (the "Software"), by buying a licence for it, or by using the neurones3d.com website (the "Website"), you agree to these Terms. If you do not agree, do not install or use the Software or the Website.

The publisher of the Website and the seller of the Software is:

2.The software: editions and licence

2.1 The editions

The Software is a desktop 3D engine for point clouds, Gaussian splatting, BIM, CAD and meshes. It is offered in the following editions, described with their current prices on the pricing page:

• Viewer, free: the full viewer, every supported format and the in-app processing, with no account and no time limit. Writing out what the program has computed (exports) is not included.
• Desktop: everything in the Viewer, plus every export and deliverable. For one named person, on all of that person's own machines.
• Engine & SDK: everything in Desktop, plus the headless command-line program (n3d-render-cli) for automation, the source code of the engine crates (n3d-core, n3d-io and n3d-render; not the source of the desktop application), and the 3D Geodata Academy course line named Write the Tool. For one developer, plus unlimited headless machines inside your organisation.
• Academic & Research: the Desktop features, for non-commercial teaching and research only. The Institute licence covers one department or laboratory, with unlimited seats inside it. The Student licence covers one person, on proof of current enrolment.

A team licence is five seats of Desktop or of Engine & SDK, each seat for one person, sold for the price of four.

2.2 Licence grant

Subject to these Terms, 3D Geodata Academy grants you a limited, non-exclusive, non-transferable licence to install and use the Software within the scope of your edition:

• the Viewer may be used by anyone, for personal and commercial purposes;
• a Desktop or Engine & SDK licence may be used for personal and commercial purposes, including work for your clients, by the named person or developer it was issued to;
• an Engine & SDK licence also allows the command-line program to run on any number of machines that your organisation operates, for your own work. It does not allow you to operate the Software, or anything built with it, as a service that third parties submit work to or control (for example a hosted or SaaS offering);
• an Academic & Research licence may be used only for non-commercial teaching and research. Publications that use results obtained with the Software should cite Neurones 3D.

A licence key is issued in the name of its holder, who sees that name in the Software. It must not be shared outside the scope of the licence, resold, sublicensed or published. The licence can be terminated only for a material breach of these Terms that you have not remedied within 30 days of our written notice.

2.3 What the key covers, and for how long

A paid licence covers every build of the Software released in the twelve months after your purchase. We release at least four builds a year (one each quarter), so that is at least four releases. The builds your key covers keep working without any time limit: the key is checked on your machine, offline, against the release date of the build, with no activation, no account, no server and no expiry.

Renewing is optional. A renewal costs 20 % of the edition's price and extends your key to the builds released in a further twelve months. If you do not renew, you keep every build you already had the right to, working. A Desktop licence can be upgraded to Engine & SDK by paying the difference between the two prices.

2.4 The engine source code and the courses (Engine & SDK)

The source code of the engine crates supplied with an Engine & SDK licence is licensed under the 3D Geodata Academy Course Code Licence (version 1.0, 31 August 2026), which prevails over these Terms for that source code. In summary, and subject to its full text, which we send on request before you buy:

• the licence is perpetual for the version of the source you received;
• you may run, modify and build on it for your organisation's internal commercial use, on any data and for any client, and the deliverables you produce are yours;
• you may not redistribute the source, supply it or a product built on it to a third party, or make it operable by a third party through a hosted service;
• embedding the engine in a product you supply to others needs a separate written agreement with us before any supply, on the basis of a royalty of 10 % of that product's net revenue;
• third-party components keep their own licences.

Access to the courses of the Write the Tool line is provided on the academy's platform, learngeodata.eu, under its terms of use.

2.5 Restrictions

Except to the extent that applicable French or EU law expressly permits despite this restriction (in particular the interoperability and error-correction rights of article L122-6-1 of the French Intellectual Property Code), and except for the source code licensed under section 2.4, you may not:

• reverse engineer, decompile, or disassemble the proprietary Software, or attempt to derive its source code;
• copy, redistribute, resell, rent, lease, or make the proprietary binary available to third parties;
• circumvent, remove, or tamper with the licensing mechanism or any technical protection;
• remove or alter any proprietary notices;
• use the Software to develop a competing product by copying it.

2.6 Ownership

The Software is licensed, not sold. All intellectual property rights in the Software, including its proprietary source code, design, and trademarks such as "Neurones 3D", remain the exclusive property of 3D Geodata Academy or its licensors. Nothing in these Terms transfers ownership to you. This does not apply to the separately licensed open-source components described in section 7, or to your own data, files and the deliverables you produce with the Software, which remain yours.

3.The website, the download service and the launch list

The Website presents the Software and offers a download service. To receive the download link, or to join the launch list that tells you when licences go on sale, you may be asked for your first name and email address through a form that uses double opt-in confirmation. The feedback form sends us a message, with an email address only if you want a reply. How we handle that data is described in our Privacy Policy. We may update, suspend, or discontinue the Website or the download service, in whole or in part, at any time, without this giving rise to any liability, subject to your statutory rights.

4.Acceptable use

When using the Software, the Website, or the download service, you agree not to:

• use them for any unlawful purpose or in breach of any applicable law or third-party right;
• attempt to gain unauthorized access to, disrupt, or overload our systems, including through automated scraping, flooding, or bypassing rate limits;
• introduce malware or otherwise interfere with the integrity or security of the service;
• misrepresent your identity or use the download form to submit data that is not yours without authorization.

You are solely responsible for the 3D data and files you process with the Software and for the outputs you generate, including ensuring that you have the rights to use them.

5.Disclaimers and "as is"

To the fullest extent permitted by applicable law, the Software and the Website are provided "as is" and "as available", without warranty of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Software will be error-free, uninterrupted, or that it will meet your specific requirements, nor that defects will be corrected.

The Software produces geometric measurements and derived models. It does not produce an engineering assessment, a structural certification or a regulatory determination. You are responsible for maintaining backups of your data and for verifying any results before relying on them for professional, safety-critical, or regulatory decisions.

Nothing in this section excludes the legal guarantee of conformity for digital content that French law grants to consumers (articles L224-25-12 and following of the Code de la consommation; for a one-off supply such as a licence, it covers a lack of conformity that appears within two years of delivery), the guarantee against hidden defects, or any other liability that cannot be excluded under French law.

6.Limitation of liability

To the fullest extent permitted by applicable law, 3D Geodata Academy shall not be liable for any indirect or consequential damages, including loss of data, loss of profits, loss of business, or business interruption, arising out of or in connection with your use of, or inability to use, the Software or the Website.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms shall not exceed the amount you actually paid to us for your licence during the twelve (12) months preceding the event giving rise to the claim, or, for the free Viewer where nothing has been paid, shall be limited to the extent permitted by law.

These limitations do not apply in the event of fraud, wilful misconduct, or gross negligence, and they do not exclude or limit any liability that cannot be excluded or limited under French law, including our liability for death or personal injury caused by our negligence and your mandatory rights as a consumer.

7.Third-party and open-source components

The Software incorporates open-source components that are provided under their own licences. The applicable notices and licence texts are made available within the application (see the in-app notices or "about" section). Your use of those components is governed by their respective licences, which in case of conflict prevail over these Terms for those components only.

Separately, the pointcloud-rs library is an independent open-source project distributed under its own terms (dual-licensed under MIT or Apache 2.0). It is not the proprietary Software and is not covered by the licence and restrictions in section 2; it is governed by its own open-source licence.

8.Price, payment, delivery, withdrawal and refunds

8.1 Price and payment

The Viewer is provided at no charge. Paid licences are sold by 3D Geodata Academy on the following terms:

• Price: the price shown on the pricing page and at checkout when you order: one payment per edition, in euros, excluding VAT, which is added at checkout where it is due; the optional renewal is 20 % of the edition's price a year, bought separately, and nothing renews automatically. The total including any VAT is shown before you pay.
• Payment: in full at the time of order, through SureCart for the checkout, and Stripe (Stripe Payments Europe Ltd, Ireland) for card payments; PayPal (PayPal (Europe) S.à r.l. et Cie, S.C.A., Luxembourg) where it is offered at checkout. Card details are collected by the payment provider; we never see or store them.
• Institutes and organisations may buy on a quotation, against a purchase order, and pay by bank transfer. Ask at howto@learngeodata.eu.
• Invoices: an invoice is issued for every order. Businesses in the European Union with a valid VAT number are invoiced without VAT under the reverse-charge mechanism.

8.2 Conclusion of the contract and delivery

The contract is formed when we send you the order confirmation by email, after the payment has been confirmed. The licence key and the download link are delivered by email immediately after payment. The confirmation email also records, on a durable medium, the consent you gave at checkout under section 8.3.

8.3 Right of withdrawal

If you are a consumer, you normally have fourteen (14) days from the conclusion of a distance contract to withdraw from it without giving any reason (article L221-18 of the Code de la consommation). That right does not apply to the supply of digital content not on a tangible medium once supply has begun with your prior express consent and your acknowledgement that you thereby lose the right of withdrawal (article L221-28, 13°).

At checkout you tick a box by which you ask for your licence key to be delivered immediately and acknowledge that you therefore lose your right of withdrawal. Because the key is then delivered at once, purchases are final, and we confirm your consent in the order confirmation email.

If you are a consumer and you did not give that consent, or if delivery of your key has not begun (for example because it was delayed), you may withdraw within fourteen days of the contract by sending a clear statement of your decision by email to howto@learngeodata.eu, giving your name and your order. You may use this model:

We then refund every payment received for that order, using the same means of payment, within fourteen days of receiving your withdrawal, and the licence key issued for it stops being yours to use.

Professional and business buyers, including institutes, have no right of withdrawal.

8.4 Refunds

Refunds: a purchase is final once the licence key has been delivered, except where the law gives you a right: the right of withdrawal in section 8.3, where you have not waived it, and the legal guarantee of conformity. The free Viewer is the complete program without exports, so it is the way to try Neurones 3D on your own data before you buy.

9.Governing law and disputes

These Terms are governed by French law. We will always try to resolve any dispute amicably first, so please contact us at howto@learngeodata.eu before taking any other step.

Where you use the Software or Website in the course of a business (professional or B2B use), any dispute relating to these Terms shall be submitted to the competent courts within the jurisdiction of Paris, France, subject to any mandatory rule of law to the contrary.

If you are a consumer, nothing in these Terms deprives you of the protection of the mandatory provisions of the law of your country of residence. You may bring proceedings before the courts of the place where we are established or of the place where you live (article R631-3 of the Code de la consommation).

As a consumer you may also use out-of-court mediation, free of charge (articles L611-1 and following of the Code de la consommation). If we have not settled a dispute within 30 days of your written complaint to us, you may refer it to our consumer mediator: CM2C (Centre de la médiation de la consommation de conciliateurs de justice), 14 rue Saint Jean, 75017 Paris, France, cm2c.net. Mediation does not take away your right to go to court.

10.Changes and contact

We may update these Terms from time to time, for example to reflect changes to the Software, our practices, or the law. When we do, we will revise the "Last updated" date at the top of this page. The version in force when you bought a licence continues to govern that purchase. Your continued use of the Software or Website after an update constitutes acceptance of the revised Terms, subject to your statutory rights.
